Placing Orders for Life Science Products:
Orders can be placed 7 days a week, 24 hours a day by email at firstname.lastname@example.org or via Fax at 855-631-0044. Orders can also be placed by phone Monday through Friday during normal business hours (excluding holidays) at 855-827-6968 (toll free in the US). Please note that we are in the Pacific Time zone.
Subject to product availability, we will confirm in 1 business day our acceptance of the order and the estimated shipping date. A binding contract for the sale shall be considered made upon our acceptance of the order and shall be governed by our terms and conditions contained herein (the “Terms”), which may be updated from time to time at our sole discretion without notice. We are not bound by any terms and conditions contained in any document from you; even if we may choose to fulfill an order without reservation despite any conflicting terms and conditions in your document, it shall not constitute our consent to such terms and conditions.
We will accept purchase orders from recognized institutions. If you do not already have an account set-up with us, please contact us at email@example.com and we will set-up your account.
All prices listed are in US dollars. Prices and product specifications are subject to change without notice. All prices quoted are exclusive of shipping and handling costs, insurance, taxes, duties and other government fees.

Payment for a purchase order shall be due in 30 days from date of shipment. An invoice will be sent by regular mail or email within 48 hours of shipment. Late payment will be subject to interest charges at the maximum rate permitted by law. We reserve the right to require a security deposit or prepayment before we initiate the shipment.
Orders are shipped FCA our facility (Incoterms 2010) for our preferred carriers. Shipping and handling charges are added to your invoice. For shipments within the US, orders are usually shipped via Federal Express (FedEx). Shipping carrier may vary for international orders. Products are considered delivered when we load them onto the carrier at our facility.
We attempt to ship out available inventory within 1 business day of our acceptance of the order. US orders are shipped Monday through Thursday for overnight delivery. International shipping times will vary. At the time of order, we will provide shipping and delivery estimates based on the availability of the items and your chosen shipping option. Applicable shipping and handling fees will also be provided at the time of order.
In cases where all items on your order are not available you may choose to receive available partial shipment for the items or wait for all products to become available before shipment. Partial shipments may be subject to additional shipping and handling fees.
Orders for catalog products may be cancelled, provided that the notice of cancellation is received before the order is shipped. You shall reimburse us for any expenses and non-cancellable commitment incurred by us before such cancellation.
To return a damaged or incorrectly shipped product, please contact our customer service department at firstname.lastname@example.org within 72 hours of receipt of the product. A return merchandise authorization form must be filled out to obtain return authorization before a replacement can be shipped out. Some products may not be eligible for return due to regulatory or storage requirements. We will not accept any returns due to customer ordering error or damage caused by customer or carrier. Items damaged during shipment should be brought to the attention of the carrier; our customer service department can assist you in filing a claim with the carrier. Custom, bulk, or special orders cannot be returned. Refunds or product credits shall not be issued if a past due balance is outstanding on your account.
Our products are intended for internal research use only and are not to be used for diagnostic or therapeutic use. Our products are intended to be used by the purchasing party and shall not be resold, modified for resale, or used to manufacture commercial products or for commercial services without our prior written consent. Unless otherwise stated on the product inserts, no license to any proprietary and intellectual property rights is either granted or implied by the sale of any of our products.
WARRANTY AND LIABILITY
Our products are warranted to meet the product specifications as described on the product insert that is shipped with the products. Notice of non-conforming products should be made to us within 21 days of receipt of the products. If after inspection we are able to confirm that the product is non-conforming or defective, we may replace or refund the value of the products at our sole discretion. Our warranty is only intended for the purchaser of our products and is not transferrable. We disclaim any and all warranties, express and implied, whether arising from a statute or otherwise, including without limitation the implied warranties of merchantability, fitness for a particular purpose, non-infringement of any third-party intellectual property rights or regarding the results obtained through the use of any products, except as otherwise stated herein.
We take no responsibility for any injury or damage caused by our products unless it is directly attributable to our intentional misconduct or gross negligence. Your only remedy will be limited to replacement or refund for the value of the product(s) in question, and in no event shall our liability exceed the actual amount paid for the product(s) that gave rise to the liability. In addition, we shall not be liable for any indirect, special, incidental or consequential damages, including without limitation any cost of procurement of substitute products, loss of profits or loss of use, however caused and under any theory of law.
Any products we supply to you are subject to applicable local export laws and regulations including, without limitation, the regulations of the U.S. Department of Commerce and the U.S. Department of State. You must comply with all United States export control laws and regulations and all other applicable law and regulations in the export, re-export, distribution or transfer of the products.
You agree to indemnify and hold us, our affiliates, suppliers and their respective directors, officers, employees, agents, shareholders, co-branders, partners, successors and assigns harmless from and against any and all claims, losses, damages, liabilities, judgments, demands, and fees and expenses (including, without limitation, reasonable attorney’s fees) asserted by any third party due to or arising out of (a) your breach of these Terms, (b) custom products we make based on your instructions or using materials you provide to us, (c) your use, modification, resale of products.

COMPLIANCE WITH LAWS AND REGULATIONS
To the best of our knowledge, our products are produced in compliance with all applicable federal, state and local laws and regulations of the United States.
These Terms and performance hereunder will be governed by the laws of the State of California, USA, without regard to provision on the conflict of laws. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to the Contract.
